Speaking Engagement Terms

1. Overview

These Speaking Engagement Terms supplement and are incorporated into the Oktonec Speaking Engagement Service Agreement executed between counssia.com and the booking organization (the "Client"). In the event of any conflict between these Terms and the signed Service Agreement, the signed Service Agreement shall prevail. All speaking engagements are subject to a written agreement executed by both parties prior to the event date.

2. Booking and Confirmation

A speaking engagement is confirmed only upon (a) execution of the Oktonec Speaking Engagement Service Agreement by both parties, and (b) receipt of the required deposit of 50% of the total agreed fee. Verbal agreements, email exchanges, or calendar holds do not constitute a binding booking. counssia.com reserves the right to accept or decline any booking request at its sole discretion.

3. Fees and Payment

Speaking fees are established in the signed Service Agreement. The deposit of 50% of the total fee is due upon signing. The remaining 50% is due no later than 48 hours before the event. All fees are stated in Canadian dollars unless otherwise agreed in writing. Late payments are subject to a monthly interest charge of 1.5% on the outstanding balance. Fees are non-negotiable once the Service Agreement has been signed.

4. Cancellation Policy

Cancellations must be submitted in writing to [email protected]. The following cancellation schedule applies: cancellation more than 30 days before the event results in forfeiture of the 50% deposit only; cancellation between 15 and 30 days before the event results in a charge of 75% of the total fee; cancellation fewer than 15 days before the event results in a charge of 100% of the total fee. Rescheduling requests made more than 14 days before the event will be accommodated once at no additional charge, subject to Counssia Touré's availability.

5. No-Show Policy

If the Client fails to have the event ready to proceed within 30 minutes of the agreed start time, Counssia Touré reserves the right to treat the engagement as cancelled by the Client and to invoice the full fee. If Counssia Touré is unable to attend due to circumstances within her control, the Client will receive a full refund of all amounts paid and the option to reschedule at a mutually agreed date.

6. Force Majeure

Neither party shall be liable for failure to perform their obligations under the Service Agreement if such failure results from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government-mandated restrictions, transportation disruptions, or serious illness. In such cases, both parties will make reasonable efforts to reschedule the engagement at a mutually convenient date.

7. Content and Audience

Counssia Touré will deliver the agreed talk as described in the Service Agreement. The Client is responsible for accurately representing the audience composition, age range, and any known sensitivities at the time of booking. Content change requests must be submitted in writing no fewer than 10 days before the event. Counssia Touré reserves the right to decline content changes that conflict with the integrity of the talk. counssia.com is not responsible for audience reactions that result from inaccurate audience information provided by the Client.

8. Recording and Intellectual Property

All content delivered during a speaking engagement — including the talk, any music performed, and all materials provided — remains the exclusive intellectual property of Counssia Touré. Recording of any kind (audio, video, photography) requires prior written consent from Counssia Touré and must be agreed upon in the Service Agreement. Unauthorized recording is strictly prohibited. Any approved recordings may not be distributed, broadcast, or published without a separate written licensing agreement.

9. Safe Environment

The Client is responsible for providing a safe, respectful, and accessible environment for the event. Counssia Touré reserves the right to terminate a speaking engagement without refund if the environment poses a risk to her physical safety or personal dignity.

10. Governing Law

These Speaking Engagement Terms and all related Service Agreements are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Any dispute shall be subject to the exclusive jurisdiction of the courts of the Province of Québec.
